Tunecy – Terms & Conditions

Effective date: 10 November 2025

These Terms & Conditions (the “Terms”) are a legally binding agreement between you and MOBIWAYS LTD, Nikou Pattichi, 105, Office 1‑2, Agios Georgios Chavouzas, 3070 Limassol, Cyprus (“Tunecy,” “we,” “us,” “our”). These Terms govern your access to and use of the Tunecy mobile application(s), website(s), APIs, and related services that generate or process audio and music using artificial intelligence (the “Service”).

By creating an account, downloading, installing, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Definitions

• Account – your user profile registered with the Service.
• App – the Tunecy mobile application(s).
• Input – any content you upload or provide to the Service.
• Output – content generated by the Service in response to your Input.
• Plans – Free, Pro, Business or other tiers.
• Third‑Party Services – services not operated by Tunecy.

2. Eligibility

You must be at least 13 years old (or the age of digital consent in your country). Under 18 requires guardian consent.

3. Account Registration and Security

You are responsible for account accuracy, security, and activity. We may suspend or terminate accounts for violations.

4. License to the App and Service

We grant you a limited, revocable license to use the Service subject to these Terms. Reverse engineering, bypassing security, training models, or commercial resale is prohibited unless expressly allowed. Apple EULA applies for App Store downloads.

5. Acceptable Use

You agree not to:

• infringe others’ rights;
• upload unlawful, hateful, or harmful content;
• create deepfakes/likenesses without consent;
• upload copyrighted materials without rights;
• break laws or sanctions;
• scrape, benchmark, or train models using the Service;
• bypass limits or disrupt the Service;
• upload harmful, exploitative, or dangerous content;
• collect or upload biometric/sensitive data without lawful consent.

Violations may result in content removal, feature limits, or account suspension.

5A. Usage Limits & Fair Use Policy

We may apply usage caps to protect the Service. Abuse may lead to throttling or suspension.

6. Your Inputs (User Content)

You retain ownership of Inputs. You grant Tunecy a license to process them to provide and improve the Service. You represent you have all necessary rights.

7. Content, Inputs, and Outputs

7.1 Inputs

You retain Input ownership. You grant Tunecy rights necessary to operate the Service.

7.2 Outputs

Outputs may be non‑unique. No guarantee of novelty. You are responsible for licenses, clearances, and compliance wherever you use Outputs.

7.3 Output Permissions

We permit you to use Outputs in your own content but do not transfer IP ownership. No sublicensing Outputs standalone unless agreed.

7.4 Similarity

You acknowledge statistical similarity may occur and waive claims based solely on similarity.

8. Feedback

Feedback may be used freely by Tunecy.

8A. Confidentiality (Business/Enterprise)

Confidential Information must be protected with reasonable care.

9. Subscriptions, Trials, Billing, Taxes

• iOS purchases: Apple handles billing and refunds.
• Trials: auto‑renew unless cancelled.
• Lifetime: lifetime of the Service, not any specific feature.
• Price changes: possible with notice.

10. Third‑Party Services and Links

We are not responsible for third‑party terms or content.

11. AI Disclaimers and Safety

AI outputs may be inaccurate. You must review before use. Not a replacement for professional advice.

11A. Beta and Experimental Features

Provided AS IS and may change or be removed.

12. Intellectual Property

The Service is owned by Tunecy and its licensors.

13. Reporting Infringement

DMCA/notice information must be submitted with required elements to support@mobiways.com.

14. Term, Suspension, Termination

We may suspend or terminate accounts for violations or risk. Certain sections survive termination.

15. Disclaimers

Service is provided AS IS without warranties.

16. Limitation of Liability

Our liability is limited to the greater of what you paid in 12 months or USD $100.

17. Indemnification

You agree to indemnify Tunecy for claims related to your Inputs, Outputs, or violations.

18. Export and Sanctions Compliance

You agree to comply with applicable sanctions/export laws.

19. Changes to the Service and Terms

We may modify features or Terms. Continued use means acceptance.

20. Governing Law and Venue

Cyprus law applies. EEA/UK/CH consumers retain mandatory rights.

20A. Arbitration (U.S. Residents)

Binding arbitration with class‑action waiver; opt‑out allowed within 30 days.

21. Miscellaneous

Entire agreement, severability, no waiver, assignment rules, force majeure, injunctive relief, electronic communications, open‑source notices, government end‑user rules, English controlling version.
